Provider Terms - Paid

These Provider Terms apply to paid services supplied by YourCareHome to care homes, home care agencies and other providers or businesses purchasing services through or in connection with the Site.

These terms apply in addition to any proposal, insertion order, service description, pricing schedule or campaign terms agreed in writing.

1. About us

YourCareHome is a website operated by theMediaFlow Ltd, c/o HSA, Lewis House, Great Chesterford Court, Great Chesterford, Saffron Walden, CB10 1PF, England.

2. Services

We may offer services including, without limitation:

  • enhanced or premium listings;
  • profile upgrades;
  • featured or promoted placement;
  • display advertising or other promotional services;
  • lead generation or enquiry forwarding; and
  • conversion-based or performance-based services.

Specific deliverables may be set out in a separate order, proposal or campaign agreement.

3. Provider responsibilities

The provider warrants that any information, images, claims, descriptions, pricing, availability, facilities, accreditations and other content supplied to us are lawful, accurate, non-misleading and do not infringe any third-party rights.

The provider must keep its information up to date and notify us promptly of material changes.

4. Editorial control

We may edit, format, shorten, relabel, place, categorise, suspend or remove provider content where reasonably necessary for legal, editorial, technical, commercial or compliance reasons.

We are not obliged to publish or continue publishing any content.

5. Paid placement

Where services involve featured, promoted or sponsored placement, the provider acknowledges that such placement may be identified as promoted, sponsored, featured or similar.

6. Leads and enquiries

Where a service includes leads, enquiries or conversions, the method of attribution, validation, pricing and any exclusions may be set out in a separate service schedule or order.

Unless expressly agreed otherwise in writing:

  • we do not guarantee any minimum number of leads, enquiries, clicks, calls, visits, bookings or conversions;
  • we do not guarantee the quality, suitability or convertibility of any lead;
  • we are not responsible for a provider’s internal response times, admissions decisions, commercial outcomes or conversion rates; and
  • a lead may still be chargeable even if it does not convert into business, unless specific exclusions have been agreed in writing.

7. Fees and payment

Fees, billing arrangements, VAT treatment, payment terms and any dispute window will be set out in the applicable order, proposal or invoice.

If no separate payment term is agreed, invoices are payable within 14 days of invoice date.

We may suspend or withdraw services for late payment.

8. No guarantee

We do not guarantee rankings, placement continuity, traffic levels, visibility, lead volume, enquiries, conversion rates, revenue or business outcomes.

9. Intellectual property

The provider grants us a non-exclusive, royalty-free licence to use, reproduce, publish, format, display and distribute content supplied by the provider for the purpose of providing the services and promoting the Site.

10. Indemnity

The provider shall indemnify us against losses, claims, costs and liabilities arising from provider-supplied content, provider claims made on the Site, provider misuse of the services, or provider breach of these terms.

11. Liability

Nothing in these terms excludes or limits liability where it would be unlawful to do so.

Subject to that, our total aggregate liability arising from provider services shall not exceed the fees paid by the provider to us for the specific service giving rise to the claim in the 12 months before the event complained of.

We shall not be liable for indirect loss, consequential loss, loss of profit, loss of revenue, loss of goodwill, loss of contracts, loss of opportunity or anticipated savings.

12. Suspension and termination

We may suspend or terminate services immediately where the provider breaches these terms, fails to pay, supplies unlawful or misleading content, or creates legal, regulatory or reputational risk.

13. Governing law

These Provider Terms are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.

1. Acceptable use

You must not misuse the Site, submit unlawful content, attempt unauthorised access, deploy malware, scrape content in bulk, or use the Site in a way that infringes the rights of others.

2. Reporting inaccurate or unlawful content

If you believe content on the Site is inaccurate, unlawful, privacy-infringing, defamatory or otherwise problematic, please contact us through our contact page.

Please include enough detail for us to identify the content, understand the complaint and contact you if needed.

3. Review of complaints

We may investigate complaints and may remove, restrict, edit or retain content while doing so.

4. Intellectual property complaints

If you believe content on the Site infringes your copyright or other rights, please notify us through our contact page and provide sufficient information to identify the rights concerned and the content complained of.

5. Defamation and sensitive allegations

We do not permit the Site to be used for unlawful or defamatory allegations, or for posting allegations about identifiable individuals in a way that creates legal or safeguarding risk.

If you wish to notify us of allegedly defamatory content, please provide the relevant URL, the words complained of, the reason the statement is said to be defamatory, and your contact details.
